What does a company secretary in practice do?

A company secretary in practice is a member of the Institute of Company Secretaries of India (ICSI) who holds a certificate of practice. Typical work includes company and LLP incorporation, ongoing Ministry of Corporate Affairs (MCA) filings, certification of e-forms, secretarial audit under section 204 of the Companies Act, 2013 (Form MR-3), and board and shareholder compliance.

Which yearly MCA filings does a private company make?

The usual yearly filings are the financial statements in Form AOC-4 and the annual return in Form MGT-7 or MGT-7A, both with the Registrar of Companies on the MCA portal. Which yearly filings does an LLP make?

An LLP files its annual return in Form 11 and its statement of account and solvency in Form 8 on the MCA portal. Event-based forms apply for changes such as partners, registered office or the LLP agreement. See the LLP compliance overview.

How many people are needed to form a company or an LLP in India?

A private limited company needs at least two directors and two shareholders. A One Person Company has a single member and a nominee. An LLP needs at least two designated partners. Directors and designated partners need a Digital Signature Certificate for MCA filings. See the formation note.

Can clients outside Lucknow or outside India instruct the Firm?

Yes. The Firm acts for clients across India, and for clients overseas whose affairs fall under Indian law. Work is carried out on MCA, GST and income-tax portals, which are national.

Does the Firm publish its fees?
